PPL Terms of Service
Version: tos-v1.0 · Effective: 2026-07-22 Provider: PPL Marketplace, Inc., a Delaware corporation ("PPL," "we"). Contact: legal@therealppl.com. [registered address — counsel to fill]
Acceptance of these terms is recorded versioned, hashed, and timestamped. A material version bump requires re-acceptance.
The short version
PPL is a marketplace where verified people license their image, voice, and stories to brands on scoped, time-boxed, renewable terms, and an AI studio produces clearly labeled content only from consented material. These terms govern using the platform. The actual licensing of any person's likeness happens only through a separate, per-deal License Agreement that names its scope, term, and fee — nothing in these terms gives anyone rights to anyone's likeness.
Part A — Everyone
A1. The agreement
By creating an account or using PPL you agree to these terms and the Privacy Policy. If you're accepting for a company, you confirm you have authority to bind it (see C1). If you don't agree, don't use PPL.
A2. Eligibility
You must be 18 or older. Members must pass identity verification before anything about them becomes licensable; brands must pass business verification before soliciting anyone. We can decline or revoke access to protect members, brands, or the integrity of the consent ledger.
A3. Acceptable use (applies to every account)
You will not:
- scrape, harvest, or extract content, profiles, images, or voice from PPL, or use anything on PPL to train, fine-tune, or benchmark any AI or machine-learning system. The only permitted machine use of a person's material is PPL's own licensed generation under an executed License Agreement;
- attempt to identify, contact off-platform, or build profiles of members outside what a license or match explicitly reveals;
- misrepresent who you are, hold yourself out as verified when you aren't, or present content as consented or licensed when it isn't;
- remove, obscure, or alter AI-made labels, provenance metadata (C2PA Content Credentials), or the verification mark on any content;
- use PPL for anything unlawful, defamatory, deceptive, or harassing;
- probe, overload, or circumvent security or scope-enforcement systems.
Violations can suspend or end your access (A6) and, for brands, are breach of contract (C6).
A4. PPL's own property
The PPL platform, site, software, biocode mark engine, and brand are PPL's or its licensors'. We give you a limited, revocable, non-transferable right to use the platform as these terms allow. Members' likenesses are emphatically not PPL property — see B2.
A5. Feedback and takedown
Feedback you send us can be used to improve PPL without obligation. If you believe content on PPL infringes your rights — including an unauthorized analog of you — report it to abuse@therealppl.com. We operate a documented notice, review, and takedown process, honor valid legal notices, and remove reported nonconsensual intimate imagery within 48 hours.
A6. Suspension and termination
You can close your account at any time. We can suspend or terminate for breach, legal risk, or fraud, with notice where practicable. What survives closure: consent and license records (they are the legal audit trail), accrued payment rights, and any License Agreement's own wind-down terms — a member closing their account triggers the revocation path in B5; it doesn't erase history or unwind an in-term, paid license, which winds down per its own terms.
A7. Changes
We version these terms like every consent instrument. Material changes are notified in advance and re-accepted; continued use after notice of non-material changes is acceptance.
Part B — Members (people)
B1. What PPL is to you
PPL verifies that you are you, holds your consent ledger, brings you licensing opportunities, runs the studio, enforces scope, and pays you. You stay in control: what can be used, for what, where, for how long, at what price — and you can say no, or stop, at any time (B5).
B2. You own your likeness — full stop
Nothing in these terms or any License Agreement transfers ownership of your image, voice, name, narrative, or any right of publicity to PPL or any brand. Everything is a license: scoped, time-boxed, renewable, never perpetual, and never assignable while you are living. When a license ends, the rights come back to you automatically.
So the platform can function, you grant PPL only a limited, revocable license to host, process, display (to you and to brands you've matched with), and — solely under an executed License Agreement and your AI-augmentation consent — augment your captured material to produce the licensed deliverables. That grant ends when your consent does, subject only to §A6's record-survival and any active license's own wind-down.
B3. Consent is the gate
The platform enforces the consent lifecycle in our published doctrine: separate, explicit, versioned consent for biometric verification, for AI augmentation, and for each license's dimensions; assets captured directly from you, never scraped; your self-set exclusions binding on every deal. If a use can't be traced to a complete consent record, it doesn't ship. The specific consents you give live in their own instruments (the consent forms and each License Agreement); these terms never substitute for them.
B4. Money
- The split is fixed: you keep 80% of every license fee; PPL keeps 20%. Studio and compliance-services fees are charged to brands and don't come out of your 80%.
- The flow: express interest freely → a brand selects you → the fee is agreed → a contract is generated and you accept it on your dashboard → you connect payouts → the license activates. You are never asked for bank details just to raise your hand, and money never moves before the contract you accepted says exactly what it's for.
- Payouts run through Stripe Connect; you'll complete its onboarding (identity/tax) once, at contract time. Your share is remitted within 7 days of PPL's receipt of the brand's payment.
- Taxes and status: you are an independent licensor, not a PPL employee, agent, or partner. You're responsible for your own taxes; we provide 1099 and equivalent information reporting where required.
B5. Stopping
You can decline any opportunity without penalty, set or tighten exclusions at any time (they bind future licenses immediately), revoke any consent, or leave entirely. On revocation: your live verification goes dark and new generation stops immediately; delivered, in-term, in-scope, paid work winds down per the License Agreement rather than vanishing retroactively; out-of-scope or exclusion-violating uses come down immediately, mid-term or not. Fees already earned in scope stay yours.
B6. What you promise us
That you are who you verified as; you're 18+; your account is yours alone; the materials you provide are of you and don't knowingly infringe anyone else's rights (e.g., you have the right to any story you tell as your own); your exclusions and disclosures are honest; and you won't license through PPL something you've exclusively promised elsewhere while that exclusivity lasts.
B7. Health-care professionals
If you are a licensed clinician engaged by a pharmaceutical or health client, you acknowledge that payments to you under such licenses are transfers of value the client must report to CMS under the Sunshine Act (42 U.S.C. §1320a-7h), and that CMS publishes the reported data publicly each year. Providing accurate identity for that reporting — your NPI, state license number and state, specialty, and practice address — and passing PPL's clinician verification and screening is a condition of pharma engagements; no such license issues without it. Your dashboard shows your pending report lines before publication (Privacy Policy §8.1).
Your fee for such an engagement is negotiated between you and the client — PPL does not set it and imposes no minimum on health-care-professional engagements. PPL documents the negotiated fee at fair market value under its FMV methodology, as payment for a legitimate, documented service that is never tied to the volume or value of business you can generate, and records it for the transparency reporting above. Your 80% share (B4) applies to whatever is negotiated.
Part C — Brands (companies and their agencies)
C1. Accounts, authority, and the Brand Compact
A brand tenant may have many seats; acceptance of these terms and of the PPL Brand Compact binds the organization and is made by a named individual with owner/admin authority, recorded versioned, hashed, and timestamped. The Brand Compact (scoped-renewable licensing, honoring revocation, no re-identification, AI labeling, disclosure duties, data minimization) is incorporated into these terms; breaching it is breaching these terms.
C2. What you get — and only through a License Agreement
Browsing, briefing, matching, and workspace tools are provided under these terms. Rights to any person's image, voice, or narrative exist only under an executed License Agreement naming that person, the scope, the term, and the fee. No perpetual buyouts exist on PPL, at any price. Absent an active License Agreement you have no right to use, retain, reproduce, or derive anything from any member's material — including pitch materials and match reveals, which are disclosed for evaluation only.
C3. Use rules (in addition to A3 and the Compact)
You will not: use deliverables outside licensed scope (asset, market, use, channel, territory, term, exclusivity); continue use past expiry or revocation wind-down; strip or crop AI-made labels, provenance metadata, or required disclosures; sublicense, resell, or redistribute deliverables as standalone files; use any member material to train or fine-tune AI systems; re-identify people behind the match-gate or retain declined matches; or use a person's material in unlawful, defamatory, or deceptive contexts, or in categories the person excluded. Sensitive-context uses (e.g., a health condition the creative merely illustrates) carry the disclosure the License Agreement requires.
C4. You are the advertiser
You are the advertiser of record for regulatory purposes and responsible for your own legal and regulatory review of creative you publish — FTC endorsement and material-connection disclosures; for pharma, MLR review, fair balance, and required disclosures; for finance, SEC Marketing Rule / FINRA testimonial rules. PPL supplies the audit package (consent record, license scope, provenance manifest, FMV documentation where applicable) that makes your review possible; PPL does not replace it.
For pharmaceutical and health clients, PPL also prepares submission-ready CMS Open Payments (Sunshine Act) data for payments made through the platform: exports in JSON and the CMS-template CSV, each with a recorded integrity hash. You remain the reporting entity — you review, submit, and attest to CMS; PPL never attests and never transmits to CMS on your behalf. You will not misrepresent PPL-prepared reporting data, alter it and present it as PPL-prepared, or submit it under PPL's name.
C5. Fees and payment
License fees (80% to the person, 20% to PPL), studio/production fees, and platform/compliance fees as quoted per deal or plan. Payment terms are net 30; late amounts accrue 1.5% per month or the highest lawful rate, whichever is lower; taxes on fees are yours. Fees for licensed work are non-refundable once the license activates, except as a License Agreement says otherwise.
C5a. Refunds and cancellation
License fees are non-refundable once the license activates (C5): from that moment the person's share is earned and the license is running. Before activation, a cancelled deal owes nothing beyond studio or compliance work already performed and invoiced. Prepaid studio points are valid for 12 months from purchase, are not refundable, and are consumed only by work you order. Members can freeze their account or delete it at any time (B5) with no fee and no penalty; a freeze pauses new opportunities without touching in-term licenses, and deletion runs the revocation path in B5 and the Privacy Policy §9.
C6. Breach
Out-of-scope use, label-stripping, re-identification, training on member material, or continued use past revocation wind-down are material breaches. PPL may suspend delivery, revoke platform access, and — because misuse of a person's likeness causes harm money can't fully fix — seek injunctive relief without posting bond, alongside the person's own remedies. The License Agreement's indemnities apply. If you use a person's material outside its licensed terms, you also bear the reasonable attorneys' fees and enforcement costs the person and PPL incur addressing it — the person never pays lawyers to stop a misuse of their own likeness (License Agreement §12.1a); this obligation sits outside the D2 caps.
Part D — The legal frame (all parties)
D1. Disclaimers
The platform is provided "as is" to the extent law allows. We don't guarantee uninterrupted service, that a brief will find matches, or business outcomes. Nothing here limits liability that can't lawfully be limited (fraud, willful misconduct, death/personal injury).
D2. Liability caps
Each party's aggregate liability under these terms is capped at the greater of $1,000 and the amounts paid or payable through PPL by/to that party in the 12 months before the claim. Excluded from the cap: a brand's out-of-scope use or Compact breach (including C6 fee-shifting); either party's indemnity obligations, confidentiality breach, or willful misconduct; amounts owed to a person for licensed use. No party is liable for indirect or consequential damages except within those exclusions.
D3. Indemnities (summary — the License Agreement carries the full framework)
Brands indemnify PPL and the person for out-of-scope or modified use, stripped labels/disclosures, and regulatory claims arising from their advertising — including reasonable attorneys' fees and costs, with fee-shifting on misuse per License Agreement §12.1a. PPL indemnifies brands, capped, for failure of the consent chain PPL warrants (verification, consent records, license validity). Members' exposure is limited to the truth of their B6 promises — people are not the deep pocket here, and these documents are drafted so they never become one.
D4. Disputes
These terms are governed by the laws of the State of Delaware, without regard to conflicts rules. Before formal proceedings, the parties will attempt 30 days of good-faith resolution starting from written notice of the dispute. Disputes are resolved in the state or federal courts located in Delaware, and the parties consent to their jurisdiction — except that claims for injunctive relief protecting a person's likeness (C6, License Agreement §12.5) and small-claims matters may be brought in any court of competent jurisdiction.
D5. Boilerplate
Entire agreement (with the Privacy Policy, Brand Compact, and any executed License Agreements, which control over these terms for their subject matter); severability; no waiver by delay; no assignment without consent except to a successor bound to these commitments; notices to the addresses on file; electronic acceptance valid under ESIGN/UETA; force majeure; survival of A6-listed items, B2's reversion, D2–D4.
Scoped, time-boxed, renewable — never forever. People are people on PPL, in the contract as much as the copy.
